This is a reference copy of the agreement every Kairos tutor signs before taking students. To actually sign, complete tutor onboarding. The signable version with a signature block is presented there and is required before your dashboard unlocks.

Kairos (“Kairos,” “we,” “us”) is an online marketplace operated by Franco Reyes, doing business as Kairos Guidance, that connects high school students with current undergraduate students (“Tutors”) for academic and college-application support, including essay help, test preparation, activities planning, résumé building, and live one-on-one video sessions.
This document has two parts: a Code of Conduct that governs how you behave on the platform and toward students, and an Independent Contractor Agreement that governs your business and legal relationship with Kairos. By signing, you (the Tutor) agree to both. You must accept this agreement before you can take students or access your tutor dashboard.
Most students on Kairos are minors. Read the safety and boundary terms below carefully. They are the most important part of this agreement, and violating them is grounds for immediate removal.
Part A: Tutor Code of Conduct
A1. Eligibility and honest representation
You confirm that:
- you are a currently enrolled undergraduate student (or as otherwise approved by Kairos) and at least 18 years old;
- every credential you provide (your school, year, major, test scores, and the services you offer) is true and current, and you will keep it accurate; and
- where a service requires it (such as SAT/ACT test prep), you will meet the qualifying score Kairos sets.
Misrepresenting your identity, enrollment, scores, or qualifications is a serious breach and is grounds for immediate removal.
A2. Safety and boundaries with minors
Because you will work with minors, you agree that you will not:
- move communication or sessions off Kairos, or share or request personal contact information (personal phone, email, social media, home address) with a student;
- arrange or suggest any in-person meeting with a student or their family;
- engage in any romantic, sexual, or otherwise inappropriate conduct, language, or imagery with a student, or any contact of a sexual nature whatsoever;
- ask a student to keep any communication secret from their parent or guardian, or attempt to circumvent the parent/guardian consent that gates a minor’s account;
- give a student money, gifts, alcohol, drugs, or other inducements, or solicit the same; or
- use, share, or store a student’s personal information for any purpose other than delivering the session.
Keep all communication and sessions on the Kairos platform, where they can be supported and, when necessary, reviewed for safety. If you ever have a concern about a student’s safety or wellbeing, or you witness conduct that worries you, report it promptly to support@kairosguidance.com.
A3. Professionalism and respect
- Treat every student, parent, and Kairos team member with respect. Harassment, discrimination, bullying, threats, or hate speech of any kind are prohibited.
- Show up on time and prepared for sessions you accept. If you must cancel or reschedule, do so as early as possible and communicate with the student; repeated last-minute cancellations or no-shows may lead to removal.
- Conduct video sessions from an appropriate, reasonably private setting, dressed and behaving as you would for any professional meeting.
A4. Academic integrity
Kairos helps students build their own work; it is not a service for doing that work for them. You agree that you will not:
- write, substantially rewrite, or ghost-write a student’s application essays, assignments, or other work that is meant to be their own;
- take a test, complete coursework, or otherwise complete graded or evaluated work on a student’s behalf, or help a student cheat;
- fabricate any part of a student’s application, activities, or credentials; or
- guarantee admission to any school, a particular score, or any other specific outcome.
You may coach, give feedback, explain concepts, model approaches, and help a student plan and revise their own work.
A5. Confidentiality and transcription
Treat anything a student shares (their essays, scores, goals, and personal circumstances) as confidential. Every session runs in the Kairos-provided video room and is automatically transcribed for safety; by teaching on Kairos you consent to this transcription of your sessions. You must hold sessions in the Kairos room — you may not host them on your own or any third-party meeting tool — and you must not separately record, re-transcribe, download, or redistribute a session or its transcript outside the Services. Kairos retains transcripts for a limited period and reviews them only to operate the Services, generate session notes, or investigate a reported session.
A6. Reporting and enforcement
You acknowledge that Kairos may suspend, restrict, or permanently remove your account, and withhold or reverse payouts associated with a violation, if it determines in its reasonable judgment that you have breached this Code of Conduct or the Terms of Use. Serious safety violations may be reported to the appropriate authorities.
Part B: Independent Contractor Agreement
B1. Independent contractor relationship
You are an independent contractor, not an employee, agent, partner, or joint venturer of Kairos. You control how and when you provide tutoring, including your own schedule, rates (within any platform limits), methods, and materials. Nothing in this agreement creates an employment relationship, and you are not entitled to employee benefits, workers’ compensation, unemployment, or withholding of any kind. You may not bind Kairos to any obligation or represent that you can.
B2. Taxes
You are solely responsible for reporting and paying all taxes on the income you earn through Kairos, including self-employment taxes. Kairos does not withhold taxes on your behalf. Where required, Kairos (or its payments processor) may issue you a tax form (such as a 1099) and may collect tax information from you to do so.
B3. Payments, platform fee, and refunds
- Students pay through Kairos, and payouts are processed through our third-party payments provider (Stripe). You must connect and maintain a valid payout account to be paid.
- Kairos retains a platform fee of 17% of each paid session; you receive the remainder, net of any payment-processing fees. Kairos may change the fee on a going-forward basis with notice.
- Payouts are released on a weekly schedule, every Friday. After a session is confirmed complete (we verify attendance through the video platform), your share is held and then transferred to your connected payout account on the next weekly Friday payout. This buffer lets us process any cancellation, refund, or no-show before funds move to you. Kairos may change the payout schedule on a going-forward basis with notice.
- You agree to Kairos’s cancellation and refund policy in the Terms of Use: sessions cancelled 24 or more hours ahead are refunded to the student in full; if you cancel, the student is always refunded in full. You authorize Kairos to reverse, offset, or withhold payouts to fund refunds, chargebacks, or corrections of payments made to you in error.
B4. Non-exclusive
This is a non-exclusive arrangement. You are free to tutor or work elsewhere, including for competitors, provided you continue to meet your obligations here and do not misuse Kairos students, data, or systems to do so (for example, by diverting Kairos students to an off-platform arrangement; see A2).
B5. Intellectual property
You keep ownership of the original teaching materials you create. You grant Kairos a non-exclusive, worldwide, royalty-free license to host and display your profile, bio, photo, and listing content for the purpose of operating and marketing the marketplace. A student’s own work and uploads remain the student’s. Any practice tests or content you create within Kairos tools may be used by Kairos to deliver the service.
B6. Confidentiality of Kairos information
You will keep confidential any non-public information about Kairos’s business, students, or systems that you learn through the platform, and use it only to provide your services. This obligation continues after this agreement ends.
B7. No background check; assumption of responsibility
You understand that Kairos reviews your application and profile but does not conduct criminal background checks, and that approval is not an endorsement. You are responsible for your own conduct and for complying with all laws that apply to you.
B8. Term and termination
This agreement starts when you sign it and continues until terminated. Either you or Kairos may end it at any time. Kairos may suspend or terminate your account immediately for a violation of this agreement or the Terms of Use, or to protect students or the platform. Sections that by their nature should survive, including confidentiality, intellectual property, taxes, payment reconciliation, indemnification, and limitation of liability, survive termination.
B9. Indemnification and limitation of liability
To the extent permitted by law, you agree to indemnify and hold Kairos harmless from claims arising out of your services, your conduct, or your breach of this agreement. To the extent permitted by law, Kairos’s aggregate liability to you in connection with the platform is limited to the platform fees Kairos retained from your sessions in the three months before the claim, and Kairos is not liable for indirect or consequential damages. The full liability and dispute terms in the Terms of Use apply.
B10. General
This agreement incorporates the Kairos Terms of Use, Privacy Policy, and Cookie Policy. If a term here conflicts with the Terms of Use on a matter specific to tutors, this agreement controls. If any provision is unenforceable, the rest stays in effect. Kairos may update this agreement; material changes will be presented for re-signature before you can continue tutoring. Questions?
